RoundMy.Town Terms of Service

1. Acceptance of These Terms

These Terms of Service (“Terms”) govern your use of the websites located at https://roundmy.town/ and all subdomains (the “Websites”) and the membership, offer, status and messaging services provided by RoundMy.Town (“RMT”, “we”, “our”, or “us”) (together, the “Services”).

By creating an account, claiming an offer, scanning an RMT QR code or NFC tag, or otherwise using the Services, you agree to these Terms. If you do not agree, do not use the Services.

In these Terms, “Members” are consumers who join RMT, and “Member Businesses” are local businesses that participate in RMT. A Member Business’s use of the Services is governed by a separate written agreement with RMT.

2. Eligibility and Accounts

Minimum age. You must be at least 21 years old to create an account or use the Services.

Age-restricted businesses and offers. Certain Member Businesses and offers, including those involving tobacco, vapor or alcohol products, are available only to Members 21 years of age or older. RMT uses the date of birth you provide to restrict access to them. Member Businesses remain responsible for verifying age at the point of sale as required by law. Providing a false date of birth is a violation of these Terms.

One account per person. Each person may hold only one account. Accounts are personal and may not be shared, sold or transferred.

Accurate information. You agree to provide accurate, current and complete information and to keep it up to date.

Account security. You are responsible for maintaining the security of your account and for all activity under it. Notify us promptly at info@roundmy.town if you believe your account has been used without your permission.

3. What Round My Town (RMT) Is

Round My Town (RMT) is a membership and marketing platform. RMT does not sell, distribute or deliver any product or service offered by a Member Business, and is not a party to any purchase you make from a Member Business.

Each Member Business is solely responsible for its products, services, pricing, sales, legal compliance and the fulfillment of its offers and perks. Any dispute about a purchase or about the fulfillment of an offer is between you and the Member Business.

4. Offers, Status and Tiers

Offers

• Offers must be claimed through the Services before your visit and redeemed by scanning the Member Business’s RMT code in store.
• Each Member may claim and redeem each offer only once.
• Offers expire on the date stated in the offer and have no cash value.
• Offers are personal and may not be sold, transferred or exchanged.
• Offers are void where prohibited or restricted by law.
• Additional terms stated in an offer apply to that offer.
• Member Businesses may decline to honor an offer that was not properly claimed or redeemed, or that was obtained in violation of these Terms.

Status and Tiers

Members earn status and membership tiers at Member Businesses by recording visits through the Services. Status, tiers, badges and any related recognition have no monetary value and cannot be sold, transferred or exchanged for cash.

RMT may change tier names, thresholds and benefits at any time. RMT may adjust or revoke status, tiers or visit records that it believes were obtained through error, fraud or a violation of these Terms.

5. Prohibited Conduct

You agree not to:

• record a visit without being physically present at the Member Business;
• copy, photograph, share or distribute RMT QR codes, NFC tags or links in order to record visits or redeem offers for yourself or others;
• create more than one account, or use another person’s account;
• provide a false date of birth or other false information;
• submit altered, duplicated or fabricated receipts;
• scrape, copy or collect data from the Services by automated means;
• interfere with, disrupt or attempt to gain unauthorized access to the Services; or
• use the Services for any unlawful or fraudulent purpose.

6. Receipt Submissions

You may submit images of receipts from Member Businesses through the Services. By submitting a receipt, you confirm that it is genuine, unaltered and from a purchase you made.

You grant RMT a non-exclusive, perpetual, royalty-free license to use, store, process and share with the relevant Member Business the receipt and the information it contains, as described in our Privacy Policy. RMT may offer incentives for receipt submissions and may reject any receipt it believes is not genuine.

7. Communications

By joining RMT, you agree to receive emails from RMT about offers, status and your account. You may unsubscribe from promotional emails or change your preferences at any time using the link at the bottom of our emails, or by emailing info@roundmy.town. You will continue to receive non-promotional messages about your account.

If you enable push notifications, you may turn them off at any time in your device or browser settings.

8. SMS Terms

Program. The Round My Town SMS program (the “Program”) sends text messages about offers, status updates and your account to individuals who opt in.

Consent. By opting in, you agree to receive recurring automated marketing and informational text messages from RMT at the mobile number you provide. Consent is not a condition of any purchase.

Frequency and cost. Message frequency varies. Message and data rates may apply.

Opt out. Reply STOP to any message to opt out. You will receive one confirmation message, and no further messages will be sent unless you opt in again.

Help. For help, email info@roundmy.town.

Carriers. Wireless carriers are not liable for delayed or undelivered messages.

Privacy. Information collected through the Program is handled as described in the SMS Privacy Policy section of our Privacy Policy.

9. Privacy

Our Privacy Policy, available on our Websites, explains how we collect, use and share your personal information, including how RMT and Member Businesses jointly own Member information. The Privacy Policy is incorporated into these Terms by reference.

10. Intellectual Property

RMT owns all rights in the Services, the Websites, and the RMT name, logos, tier and badge designs, software and content, except content provided by Member Businesses. You may use the Services only for your personal, non-commercial use as permitted by these Terms. No other rights are granted to you.

11. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. RMT DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT ANY OFFER WILL BE AVAILABLE OR HONORED. RMT MAKES NO WARRANTY REGARDING ANY PRODUCT OR SERVICE OFFERED BY A MEMBER BUSINESS.

12. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, RMT WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR ANY LOSS ARISING FROM ANY PRODUCT, SERVICE OR CONDUCT OF A MEMBER BUSINESS.

TO THE FULLEST EXTENT PERMITTED BY LAW, RMT’S TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED TWENTY U.S. DOLLARS ($20).

Nothing in these Terms limits liability that cannot be limited under applicable law.

13. Indemnification

You agree to indemnify and hold harmless RMT and its owners, employees and agents from any claims, losses and expenses, including reasonable attorneys’ fees, arising from your violation of these Terms or your misuse of the Services.

14. Termination

You may close your account at any time by emailing info@roundmy.town. When you close your account, RMT also removes your information from Member Businesses’ access through the Services, as described in our Privacy Policy. RMT may suspend or terminate your account, and remove any status, tiers or unredeemed offers, if you violate these Terms or if RMT discontinues the Services. Sections 3, 6 and 9 through 15 survive termination.

15. Governing Law and Venue

These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-law rules. Any dispute arising from these Terms or the Services will be brought exclusively in the state or federal courts located in Duval County, Florida, and you consent to the jurisdiction of those courts.

16. Changes to These Terms

We may update these Terms from time to time. When we make a material change, we will update the “last modified” date below and may notify you by email or on our Websites. Your continued use of the Services after a change takes effect means you accept the updated Terms.
